Membership Terms & Conditions

Welcome to Knowing Look Apparel. By purchasing or renewing any membership (including but not limited to Primo, Primo+, Epic, or Epic+) you agree to the following Terms & Conditions ("Terms"). These Terms form a binding legal agreement between you ("Member") and Knowing Look Apparel LLC ("Company," "we," "our," or "us"). Please read them carefully before enrolling or renewing.

1. Definitions and Membership Overview

"Membership" means your paid subscription that grants access to certain benefits and pricing as detailed on the Membership page of our website. "Member" means the individual purchasing or renewing a Membership. "Billing Cycle" means the monthly or annual period tied to your specific plan.

Your Membership becomes effective immediately upon successful payment processing. By subscribing, you acknowledge that you have read, understood, and agree to these Terms.

2. Billing, Renewal & Payment Authorization

Your Membership fees are billed automatically each month or year, depending on your chosen plan. By enrolling, you authorize Knowing Look Apparel LLC to charge your provided payment method for Membership dues, applicable taxes, and any other fees associated with your plan.

Failed Payments: If your card fails to process, it will automatically be charged again. If the second attempt fails, your Membership will be canceled immediately.

Automatic Renewal: Memberships renew automatically at the end of each Billing Cycle unless canceled in accordance with Section 4. You will be notified of any upcoming renewal or pricing changes as described in Section 12.

Price Changes: If Membership pricing increases, you will be notified in advance and may choose not to renew for the next term.

Payment Methods: Accepted methods include credit/debit cards, PayPal, Swipe, and other online payment services as outlined on our website and/or app, and which may change or discontinue at any time with or without notice at Knowing Look's discretion.

3. Chargebacks and Fraud

All Membership dues are non-refundable. Any attempt to dispute or reverse a legitimate charge ("chargeback") will result in immediate termination of Membership.

Invalid or fraudulent chargebacks are treated as intentional fraud. The Company aggressively pursues recovery of such funds, including collections, reporting, and recovery of all associated fees, costs, and attorneys' fees. By subscribing, you expressly consent to such enforcement.

4. Cancellation and Termination

Cancellation by Member: Members may cancel at any time by following the process outlined in their account profile. Cancellations take effect at the end of the current term.

Refunds for Unused Portions: There are no refunds for unused time or early cancellation for any reason. By purchasing or renewing a Membership, you acknowledge and accept this policy.

Termination by Company: We reserve the right to suspend or terminate any Membership for non-payment, fraudulent activity, chargebacks, breach of these Terms, or misuse of benefits (including resale of memberships or products, or sharing Membership accounts).

Effect of Termination: Upon termination, the Member's status reverts to non-member without any Membership benefits, pricing, or access. The Member remains liable for all amounts due up to the effective date of termination.

5. Membership Benefits and Acceptable Use

Benefits: Membership benefits and pricing are detailed on the Membership page of our website. They may include early-access windows, exclusive or discounted pricing, limited-edition availability, free shipping for "+" tiers, and other perks as described.

Acceptable Use: Membership benefits are for personal use only. Members may not resell products purchased using Membership pricing or benefits. Resale, distribution, or bulk purchasing for commercial purposes is strictly prohibited and grounds for immediate termination.

Freebies and Gifts: From time to time, we may include complimentary items ("Freebies"). These vary and may change, pause, or terminate with or without notice. Freebies are not returnable or exchangeable under any circumstance.

Free Shipping: Free shipping applies exclusively to "+" Membership accounts (Primo+ and Epic+) and is available only for orders shipped within the United States. We do not offer free or paid international shipping. Free shipping covers standard shipping services only, which typically require three (3) to seven (7) business days for delivery, excluding weekends and holidays. Delivery times are estimates and are not guaranteed. "+" Members who wish to receive items more quickly may choose Express or Expedited Shipping at the full applicable rate in effect at the time of order. The free shipping benefit may be modified, suspended, or terminated at any time after the Member's anniversary date without prior notice. Continued use of Membership after such change constitutes acceptance of the revised terms.

6. Returns and Product Defects

Due to the made-to-order and limited-edition nature of our products, we do not accept returns.

If a product arrives materially defective (e.g., torn at seams, print missing, or incorrect design due to our error), contact us within 5 days of delivery at support@knowinglookapparel.com with clear photographs. We will review and, at our sole discretion, may issue a credit for a replacement item of similar value.

Material defects represent fewer than 0.5% of products. Damage caused after receipt or dissatisfaction with color, design, size, or fit does not qualify as a defect. If packaging arrives damaged, contact your postal carrier directly. There are no shipping refunds under any circumstance.

7. Modification of Benefits and Terms

We may modify Membership pricing, benefits, or these Terms at any time. Members will receive notice through email, text, app notifications, account login, company website, or other communication methods based on the preferences provided at signup. Continued use of the Membership constitutes acceptance of such modifications.

8. Liability Disclaimer and Indemnification

The Membership and all related benefits are provided "as-is" without warranties of any kind. To the maximum extent permitted by Utah law, Knowing Look Apparel LLC disclaims all express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

Our liability is limited to the total amount paid for your current Membership term. We are not liable for any indirect, incidental, special, or consequential damages, including loss of profits or data.

You agree to indemnify, defend, and hold harmless Knowing Look Apparel LLC, its affiliates, owners, employees, and agents from any claims, losses, or damages arising from your use of the Membership, your breach of these Terms, or any chargebacks or disputes you initiate.

9. Privacy and Data Use

We collect and use personal information in accordance with our Privacy Policy (linked on our site). Data is stored and processed solely for providing Membership and purchase-related services. We do not sell or rent personal data.

We may send Members transactional or promotional communications. Members may opt out of marketing messages but not essential notifications related to their account or renewals.

10. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.

All disputes, claims, or controversies shall be brought exclusively in the state or federal courts located in Salt Lake County, Utah, unless we elect, at our sole discretion, to require arbitration, mediation, or another dispute-resolution process.

You agree that all disputes must be filed individually and not as part of any class or representative action.

11. Notices and Communications

All notices and communications will be delivered via email, text, app notification, account login, company website, or other means consistent with your chosen communication preferences at signup. It is the Member's responsibility to keep contact information current.

12. Miscellaneous

These Terms, along with our Privacy Policy and any referenced policies, constitute the entire agreement between you and Knowing Look Apparel LLC. If any provision is found invalid or unenforceable, the remaining provisions remain in full force. Failure to enforce any term does not constitute a waiver of that term. We may assign or transfer these Terms without notice; Members may not assign their Membership without written consent. Headings are for convenience only and have no legal effect.
